Media Account Terms (“Media Terms”)

 

  1. Definitions

 

  • “AFF” means the ASEAN Football Federation.
  • “Events” mean the AFF competitions marketed collectively as ASEAN United FC (namely, the ASEAN Championship, ASEAN Club Championship, ASEAN U-23 Championship and the ASEAN Women’s Championship).
  • “Media Account” means the media account that you successfully register for on the Website’s Media Centre, governed by these Media Terms.
  • “Media Centre” means the dedicated section in the Website accessible only through an approved, registered account.
  • “Media Materials” refer to still images and news content accessible to you when you log into your Media Account.  
  • "User" or "you" refers to any person accessing or using a Media Account.
  • “Website” means www.aseanutdfc.com
  • "Website Content" means any and all content featured on the Website (including all content accessible through your Media Account) and include all information, text, images, graphics, videos, audio, software, and all other forms of data or communication available on the Website.
  • "We", "our", "us" or “Sportfive” refers to Sportfive Asia Ptd Ltd and its affiliates.

 

  1. Acceptance of Media Terms

 

By accessing or using your Media Account, you agree to be bound by these Media Terms which you acknowledge to have read and understood. 

 

We reserve the right, in our sole discretion, to change, modify or otherwise revise these Media Terms at any time without prior notice to you. By using the Website and accessing your Media Account, you agree that the posting of new or revised Media Terms shall constitute adequate notice to you. You must review these Media Terms on a regular basis to keep yourself informed of any changes.

 

 

  1. Registration for Media Account

 

3.1.      You may register for a Media Account on the Website. By registering, you acknowledge and certify that:

 

a)         you are eligible for a Media Account as set forth in these Media Terms; and

 

b)          the information you include as part of the registration process is accurate and not misleading. If you provide, or if we have reasonable grounds to suspect that you have provided, any information that is untrue, inaccurate, not current or incomplete, or we otherwise reasonably consider that you have failed to comply with any provisions of these Media Terms, we have the right to suspend or terminate your Media Account, and refuse your current or future use of the Website and your Media Account.

 

3.2.       Media Accounts may only be applied by an individual who is at least twenty-one (21) years of age and is either:

 

  1.   employed with a media or newsgathering organization or

 

  1. a freelance journalist or photographer, blogger, content creator or social media influencer who is not employed by a media organisation. 

 

3.3       When applying for a Media Account, please provide the following supporting documentation:

 

  1. for individuals employed with media or news gathering organisations: a valid professional media or journalist card (formats: pdf, png, or jpeg) and a valid photo identification issued by the organisation represented (formats: pdf, png, or jpeg); and

 

  1. for all other individuals as set out in 3.2(b) above: published work or portfolio (formats: pdf or web links).

 

3.4       Sportfive reserves the right to accept or reject your application for a Media Account.

 

 

  1. Media Account Content

 

4.1.      Upon your successful registration for a Media Account, you will be permitted to access and view the Media Materials when you log into your Media Account.

 

Subject to your continued compliance with the conditions expressed in this clause 4, Sportfive grants to you, a non-exclusive, non-transferable, non-licensable, and non-assignable licence (“Licence”) to use, reproduce, and publish any Media Materials strictly for editorial purposes only in relation to the Events and in accordance with the Media Terms.

 

4.2.      The grant of Licence to you in clause 4.1 is subject to your continued compliance with the  Media Terms, and further conditions expressed as follows:

 

  1. Duration and Single-Use only: The Licence is granted to you for a period of one year commencing from the date that you download the Media Materials. The download of any Media Materials must be published in print or digital within thirty (30) days of the date of download and may only be published once.

 

  1. Use of Media Materials: You expressly agree that:

 

  1. your use of the Media Materials does not state or imply that Sportfive approves of, sponsors, is associated with or endorses any other website activity, company or entity, brand, resource or content;
  2. the Media Materials are not altered or edited in any way;
  3. the Media Materials must not be used in any manner that presents AFF, Sportfive, its licensees and/or the Events in a false, misleading, defamatory or derogatory manner or otherwise damage AFF’s, Sportfive’s, its licensees’ and/or the Events’ reputation or take advantage of it; and
  4. you properly attribute the Media Materials used to Sportfive.

 

  1. Medium and Territory: Media Materials may be published in print and digital media only, and in the case of print media publications, territorial restrictions apply to limit all print publications to the jurisdiction where your organisation is registered and operates. Broadcasting of any Media Materials is strictly prohibited.

 

  1. For Editorial (Non-Commercial) Purposes only: You agree that any use or publication of Media Materials in print or digital media shall be strictly for editorial purposes in relation to the Events. You are expressly prohibited from using any Media Materials for: 1) any purpose that is unrelated to the Events; and 2) non-editorial purposes such as for commercial, profit, promotional or marketing purposes without the prior written consent of Sportfive.

 

Approvals sought under this clause 4.2(d) may be directed to Sportfive via email at sg.media@sportfive.com.

 

4.3.            You agree to bear any and all risks in connection with your use and/or download of the

      Website Content and Media Materials.

 

 

  1. Data Protection Policy

 

By accessing or using your Media Account, or submitting your personal information to the Media Account, you agree to Sportfive’s use of such submitted data in accordance with the Privacy Policy (“Privacy Policy”).

 

 

  1. Indemnification

 

You hereby agree to indemnify and hold AFF, Sportfive and its affiliates, licensees, officers,  agents, and employees, harmless from any and all liabilities, losses, damages, claims, penalties, fines, costs and expenses, including without limitation, reasonable legal fees, that may arise in connection with:

 

  1. your use of and access to your Media Account, Media Materials, Website and Website Content;
  2. your failure to comply with any provision of these Media Terms; and
  3. any claim by a third-party that your use of your Media Account, Media Materials, Website or Website Content infringes any intellectual property, other proprietary or privacy rights of such third party or has otherwise caused damage to a third party.

 

 

  1. Limitation of Liability

 

You expressly acknowledge and agree that Sportfive shall not be liable for any direct, indirect,  incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Sportfive has been advised of the possibility of such damages) regardless of the form of action, whether in contract, tort, strict liability or otherwise, including, without limitation, in relation to:

 

  1. the use or inability to use your Media Account;
  2. unauthorised access to, or alteration of, your transmission of data including personal data;
  3. statements or the conduct of any third party on the Website or Website Content;
  4. the impact of the Website or Website Content and any materials provided on the Website or Website Content; or
  5. any other matter relating to the Website, Website Content or your Media Account.

 

To the extent permitted by law, Sportfive’s maximum aggregate liability in contract, tort or otherwise (including any liability for any negligent act or omission) howsoever arising out of or in connection with your use and access of the Website, Website Content and or your Media Account shall be limited to an amount of one Singapore dollar ($1 SGD).

 

 

8.         Governing Law and Jurisdiction

 

These Media Terms are governed by the laws of Singapore. Any disputes arising from these Media Terms shall be resolved exclusively in the courts of Singapore.

10.       Miscellaneous

 

10.1.     Severability

 

If any provision of these Media Terms is deemed invalid or unenforceable, the remaining provisions will remain in effect.

 

10.2.     Waiver

 

Failure to exercise or enforce any part of these Media Terms does not constitute a waiver of our rights.

 

10.3.     Entire Agreement

 

These Media Terms constitute the entire agreement between you and Sportfive Asia Pte Ltd regarding use of your Media Account.

 

10.4.     Prevailing Terms

 

In the event of conflicting terms between these Media Terms and the terms governing the Website and Website Content, these Media Terms shall prevail to the extent where such provision/s relate to use of your Media Account.
